CORPORATE AND BUSINESS LAW

The department provides a complete range of services to business clients, including sole proprietorships, partnerships, C and S corporations, limited liability partnerships (LLPs), and limited liability companies (LLCs). The department's focus is on trying to enhance the success of the Firm's business clients by supplying critical advice and timely services. These services include analysis and advice on many business matters including the appropriate choice of business entity after considering all the tax and business consequences. Among the Department's most active practice areas are the following:

  • Formation of business entities (including C and S corporations, limited liability companies [LLC], general and limited partnerships, and sole proprietorships) Servicing of business entities (including annual report filings and shareholder's and director's minutes)
  • Business succession planning
  • Business contracts
  • Buy-Sell agreements
  • Employment agreements
  • Non-compete agreements
  • Medical and Dental practice agreements
  • Mergers and acquisitions
  • Purchase and sale of businesses
  • Tax-free mergers and reorganizations with publicly traded companies
  • Tax-free exchanges of real estate under IRS Section 1031
The department also represents lending institutions and private lenders in connection with commercial loan transactions, secured lending and mortgage refinancings.

Gebhardt & Kiefer has the ability to prepare the necessary security instruments and assist lenders in analyzing their legal needs in the title review and closing process. Whether the lender is engaging in a statewide lending program or merely lending on a single transaction, our goal is the proper collateralization of the loan without alienating the borrower.
